Wholesale Terms & Conditions

Effective date: [TBD]. These terms govern the wholesale relationship between ExactBlue Technologies Inc. (“ExactBlue”) and approved B2B partners (“Partner”).

1. Eligibility

Wholesale accounts are available to verified businesses with a valid reseller permit, business license, or tax-exemption certificate. ExactBlue reserves the right to approve, decline, or revoke wholesale status at its discretion. Personal and consumer accounts are not eligible.

2. Pricing

Wholesale prices are confidential and visible only to approved Partners while signed in. MRSP is shown publicly for reference. Prices are quoted in USD or CAD as listed and are subject to change with 30 days written notice. Orders in progress at the time of a price change are honoured at the original quoted price.

3. Minimum Order Quantity

ExactBlue products are sold in case-pack quantities only. Case sizes are listed on each product page. There is no dollar-value MOQ; mixed-product orders are accepted at one case per SKU.

4. Payment Terms

The first three (3) orders from a new Partner are prepaid by credit card or wire transfer. After three orders in good standing, Net 30 terms are available on application, subject to credit review. Late balances accrue interest at 1.5% per month (18% per annum) and may result in suspension of open terms.

5. Shipping

All shipments are FOB Cambridge, Ontario, Canada, Incoterms 2020. Freight is charged at the Partner’s account number where provided, or invoiced as a pass-through at carrier cost plus handling. Title and risk of loss transfer to the Partner at pickup by the carrier.

6. Lead Times

In-stock items typically ship within 5–10 business days of cleared payment or approved PO. Lead times for backordered or made-to-order items are verified at the time of quote. ExactBlue is not liable for delays caused by carriers, customs, or force majeure.

7. Returns & Damages

Damages in transit must be reported within 48 hours of receipt with photos of the carton, contents, and shipping label. Concealed damage claims after 48 hours may be declined. No returns are accepted on opened product or on product past 75% of its labelled shelf life. Authorized returns require an RMA number and are subject to a 20% restocking fee.

8. Confidentiality

Wholesale pricing, partner-only documentation, training materials, and any non-public technical information are confidential and may not be disclosed to third parties, posted publicly, or shared with competitors without prior written consent from ExactBlue.

9. Termination

Either party may terminate this wholesale relationship with 30 days written notice. ExactBlue may remove a Partner’s wholesale tag immediately for material breach (including but not limited to: non-payment, public disclosure of confidential pricing, misrepresentation of ExactBlue products, or sale outside an approved territory).
